By accessing or using theSkills.ai ("Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and theSkills.ai. We may update these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

theSkills.ai provides a marketplace for skill assets and expert services, including:

• Skill Marketplace:A platform where experts ("Maintainers") create and sell tradable skill protocols
• MCP Protocol Integration: API access enabling AI agents to search and book skills via Model Context Protocol
• AI-Powered Matching: Semantic search using Gemini to connect users with relevant skill assets
• Expert Booking System: Priority access to maintainers for hourly consulting sessions

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Not share your account credentials with others
• Notify us immediately of any unauthorized use

As a Maintainer creating skills, you agree to:

• Ensure all content is accurate, complete, and reflects your actual expertise
• Only create assets for skills you genuinely possess and can demonstrate
• Update syllabus content regularly to maintain relevance and accuracy
• Respond to booking requests from purchasers in a timely manner
• Grant that you own all intellectual property rights to the content you publish

When you purchase a skill, you acquire:

Purchasers of skill assets receive priority access to book the maintainer for consulting sessions:

• Priority Access: Purchasers receive booking priority over non-purchasers
• Hourly Rate:Consulting sessions are billed at the maintainer's published hourly rate
• Cancellation Policy: Sessions cancelled less than 24 hours in advance may be charged in full
• Scope: Consulting is limited to the specific skill asset purchased

The Platform exposes skill data via the Model Context Protocol (MCP) for AI agent integration:

• API Keys: API keys are provided for legitimate integration purposes only
• Usage Quotas: Rate limits apply to prevent abuse and ensure fair access
• Prohibited Activities: Reverse engineering, scraping, or attempting to bypass access controls is forbidden
• Monitoring: All API access is logged and monitored for security purposes

The following fees apply to Platform transactions:

All payments are processed securely via third-party payment processors. You agree to pay all fees and charges incurred under your account. We reserve the right to modify fees with 30 days notice.

All content and materials on the Platform are protected by intellectual property laws:

• Platform Content: The Platform design, text, graphics, and code are owned by theSkills.ai
• Skills: Maintainers retain ownership of their skill content and grant purchasers a limited license
• User-Generated Content: By posting content, you grant us a license to use, display, and distribute it
• Trademarks: theSkills.ai and related marks are trademarks of theSkills.ai

Using the Platform, you agree NOT to:

• Create false or misleading identities or credentials
• Post content that is illegal, harmful, threatening, or defamatory
• Reverse engineer or attempt to extract source code from the Platform
• Use automated tools to scrape data or overload our servers
• Interfere with other users' enjoyment of the Platform
• Violate any applicable laws or regulations

The Platform maintains expert verification and reputation systems:

• Verification: Maintainers may submit credentials for verification. We reserve the right to verify or reject any credentials.
• Reputation Scores: User ratings and reviews contribute to reputation scores. We monitor for fake reviews and manipulation.
• Audit Trail: All transactions and interactions are logged for audit and dispute resolution purposes.

We strive to resolve disputes amicably. If a dispute arises:

• Contact our support team to attempt informal resolution
• If informal resolution fails, disputes shall be resolved by binding arbitration
• Arbitration shall be conducted under the rules of the American Arbitration Association

These Terms shall be governed by the laws of the State of California and the United States, without regard to conflict of law provisions.

To the fullest extent permitted by law:

• THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR MAXIMUM LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR THE CONDUCT OR CONTENT OF MAINTAINERS OR USERS
• AI-GENERATED MATCHES AND RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY

Your Right to Terminate: You may delete your account at any time through your account settings.

Our Right to Terminate: We may suspend or terminate your account and access to the Platform:

• Immediately, without notice, for violation of these Terms
• With 30 days notice for any other reason (e.g., service discontinuation)

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination shall continue.

• Entire Agreement: These Terms constitute the entire agreement between you and theSkills.ai
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
